Purpose
These terms of sale govern subscribing to and the supply of subscriptions to the Mirage Analytics dashboard, published by DPLIANCE SAS. The Service is intended exclusively for professionals acting in the course of their business, and not for consumers. Subscribing entails unreserved acceptance of these terms.
Publisher
The Service is published and sold by:

- Registered office: 24 Boulevard du Grand Cerf — HTAG Bureau 11, 86000 Poitiers, France;

Plans and prices
A Mirage Analytics subscription starts at €19 per month excluding tax, in tiers based on the traffic volume of the measured site. Prices are stated in euros, excluding tax. Value added tax (VAT) at the applicable rate is added to the stated prices. DPLIANCE reserves the right to change its prices; new prices apply to subscription periods beginning after they take effect, and the Customer is informed beforehand.
Subscribing
Subscription takes place online through the Service. The Customer selects the plan matching their needs, provides the required information and confirms the order. Confirming the order constitutes acceptance of these terms and formation of the contract. An order summary is sent to the Customer.
Payment
Payment is made by bank card or by direct debit, through our payment provider Mollie. Payment is due on subscription and then at each renewal date. Should payment fail or be rejected, DPLIANCE may suspend access to the Service until the situation is resolved. In accordance with the applicable regulations, late-payment penalties and a fixed recovery indemnity may apply between professionals.
Term and renewal
The subscription is entered into for a monthly term and renews by tacit renewal for successive one-month periods, unless terminated by the Customer under the conditions set out in the “Termination” article. Renewal gives rise to payment of the price in force on the renewal date.
Right of withdrawal
Since the Service is intended exclusively for professionals acting in the course of their business, the right of withdrawal granted to consumers by the French Consumer Code does not apply.
Termination
The Customer may terminate their subscription at any time from their account or by written request; termination takes effect at the end of the current subscription period, with no refund for the period already started. DPLIANCE may terminate the subscription if the Customer fails to meet their obligations, in particular payment, after a formal notice has gone unanswered.
Invoicing and VAT
An invoice is issued for each due date and made available to the Customer. Invoices state the price excluding tax, the applicable VAT rate and amount, and the total including tax. The Customer is responsible for the accuracy of the billing information they provide, including their intra-Community VAT number where applicable.
Obligations of the provider
DPLIANCE undertakes to supply the Service diligently and in accordance with its description. DPLIANCE provides the Customer with support, reachable at support@dpliance.com. DPLIANCE is bound by an obligation of means as regards the availability and proper functioning of the Service.
Warranties and liability
To the extent permitted by law, DPLIANCE's liability is limited to direct damages and may not exceed the amounts paid by the Customer for the subscription over the last twelve months. DPLIANCE is not liable for indirect damages (in particular loss of revenue or of data) nor for the consequences of a use of the Service that does not comply with these terms. DPLIANCE is bound by an obligation of means.
Complaints and amicable resolution
Any complaint relating to the Service may be sent to DPLIANCE at contact@dpliance.com. The parties will endeavour to resolve any dispute amicably before taking legal action.
Governing law and jurisdiction
These terms are governed by French law. Failing an amicable resolution, any dispute relating to their validity, interpretation or performance falls within the exclusive jurisdiction of the Commercial Court of Poitiers.
